"Creative Works"
Means all original creative content created, developed, designed, edited, curated, commissioned, published, or otherwise produced by Beamsley & Co Limited under the trading names Simja – Spectrum Imagination Mary Jane Art and Spectrum Minds.
Creative Works include, but are not limited to:

Original Artwork;

Fine Art Prints;
-
AI-Assisted Creative Works;
-
Digital Artwork;
-
Videos and animations;
-
Illustrations;
-
Surface patterns;
-
Textile and fabric designs;
-
Shoe and footwear designs;
-
Apparel graphics;
-
Product designs;
-
Branding and logos;
-
Website graphics;
-
Marketing materials;
-
Educational resources;
-
Written content;
-
Product photography; and
-
Any other artistic or creative content published or supplied by SIMJA.
Unless expressly stated otherwise, all Creative Works remain the exclusive intellectual property of Beamsley & Co Limited.
"Original Artwork"
Means any one-of-a-kind artistic work created by SIMJA using traditional, digital, mixed-media, photographic, sculptural, or other artistic techniques.
Original Artwork may include paintings, drawings, mixed-media works, commissioned works, signed originals, limited edition originals, and other unique artistic creations.
Ownership of Original Artwork transfers ownership of the physical artwork only and does not transfer copyright or any other intellectual property rights unless expressly agreed in writing.
"Fine Art Print"
Means a professionally produced reproduction of an Original Artwork created by SIMJA using high-quality printing methods and materials.
Unless otherwise stated, Fine Art Prints are prepared, quality checked, packaged, and dispatched directly by SIMJA from New Zealand.
Fine Art Prints are separate from Print-on-Demand Products and may be available as:

Open editions;
-
Limited editions;
-
Signed editions; or
-
Editions accompanied by a Certificate of Authenticity where specified.
Purchasing a Fine Art Print transfers ownership of the physical print only and does not transfer copyright, intellectual property rights, reproduction rights, licensing rights, or commercial rights in the underlying artwork.
"AI-Assisted Creative Works"
Means Creative Works produced using artificial intelligence as one component of the artistic process under the creative direction, selection, editing, refinement, and publication of SIMJA.
AI may be used for concept development, image generation, illustration, animation, video creation, digital enhancement, or other creative processes.
Unless expressly stated otherwise, all final AI-Assisted Creative Works published by SIMJA are curated, substantially modified where appropriate, or otherwise creatively directed by Beamsley & Co Limited and form part of SIMJA's Creative Works.
The use of artificial intelligence as a creative tool does not transfer or diminish SIMJA's ownership of any copyright, intellectual property rights, branding, compilation rights, or other proprietary interests that may exist under applicable law.
"Digital Artwork"
Means artwork created wholly or partly using digital creative software, illustration software, photography, graphic design tools, or other electronic artistic methods.
Digital Artwork forms part of SIMJA's Creative Works and is protected in the same manner as Original Artwork unless otherwise stated.
"Terms" or "Terms and Conditions"
Means these Terms and Conditions, together with any policies, notices, and documents expressly incorporated by reference, including, where applicable:

9. Product Images, Colours & Manufacturing Variations
SIMJA makes every reasonable effort to display products as accurately as possible. However, because our products include original artwork, fine art prints, print-on-demand products, artist-designed footwear, and handmade items, variations may occur between the images displayed on our website and the product you receive.
These variations are a normal part of the artistic, printing, manufacturing, and fulfillment processes and do not necessarily indicate that a product is faulty or defective.

Customer Responsibility

Consumer Rights

Promotions, Discount Codes & Future Rewards

Multiple Fulfilment Partners
SIMJA works with multiple trusted manufacturing and fulfillment partners, including providers responsible for producing print-on-demand products, footwear, canvas prints, and products prepared directly by SIMJA.
Accordingly:

SIMJA works with carefully selected third-party manufacturing and fulfillment partners to produce, personalise, package, and dispatch selected products.

Products fulfilled by third-party partners may include, but are not limited to:

While authorised third-party partners may manufacture, package, or dispatch products on SIMJA's behalf, SIMJA remains responsible for managing customer orders, customer service, and fulfilling its obligations under applicable consumer protection laws.

16. Risk and Title
Ownership ("title") and responsibility ("risk") for products supplied by Beamsley & Co Limited, trading as Simja – Spectrum Imagination Mary Jane Art and Spectrum Minds ("SIMJA"), are governed by this section, subject always to any rights you have under applicable consumer protection laws.
Transfer of Title
Ownership of a product passes to you when:

Full payment for the order has been successfully received by SIMJA; and

The product has been dispatched for delivery or otherwise made available to you,
unless otherwise required by applicable law.
For Original Artwork, Fine Art Prints, commissioned works, or other products where ownership is expressly stated to transfer under different conditions, those specific terms will apply.
Ownership of the physical product does not transfer any copyright, intellectual property rights, licensing rights, moral rights, reproduction rights, or other proprietary rights relating to the artwork or Creative Works embodied in the product.
Those rights remain the exclusive property of Beamsley & Co Limited unless expressly assigned in writing.
Transfer of Risk
Risk of loss or damage to a product generally passes to you when:

The product is delivered to the delivery address you provided;

Delivery is accepted by you or a person authorised to receive the delivery on your behalf; or

The courier or delivery service confirms successful delivery,
subject to your rights under applicable consumer protection laws.
If a parcel is delivered in accordance with the delivery instructions you have provided (including authority to leave instructions where available), responsibility for the security of the parcel passes to you once delivery has been completed.
Incorrect Delivery Information

SIMJA is not responsible for delays, additional delivery charges, failed deliveries, or losses resulting from:

Where an order is fulfilled in multiple shipments, ownership and risk pass separately for each shipment as it is delivered.
The delivery of one shipment does not affect the ownership or risk associated with any remaining shipments that are still in transit.

Many SIMJA products are individually manufactured after an order is placed, including products fulfilled through Printful, POPCUSTOMS, and future fulfillment partners.
For these products, production generally begins shortly after an order has been accepted and payment has been authorised.
Accordingly, SIMJA may rely on production records, manufacturing confirmations, fulfilment records, and shipping documentation when responding to payment disputes or chargebacks involving custom-made or print-on-demand products.
Cooperation During Investigations
Customers agree to cooperate reasonably with any investigation relating to a payment dispute, chargeback, suspected fraud, or unauthorised transaction.
This may include providing photographs, order details, delivery information, or other documentation reasonably requested to assist in resolving the matter.
Consumer Rights
Nothing in this section excludes or limits any rights or remedies that cannot lawfully be excluded under applicable consumer protection legislation, including rights relating to unauthorised transactions, faulty goods, or mandatory consumer guarantees.

These works are protected by copyright, trade mark, design, moral rights, and other applicable intellectual property laws in New Zealand and internationally.
Purchase of Products
Purchasing a product from SIMJA transfers ownership of the physical product only.
Unless expressly agreed in writing, the purchase of a product does not transfer:

Trade mark rights;

Moral rights;

Design rights;
-
Reproduction rights;

Licensing rights;

Commercial use rights;

Rights to create derivative works; or

Otherwise use Creative Works in a manner that infringes SIMJA's intellectual property rights.
Artificial Intelligence and Data Mining
Except where prohibited or restricted by applicable law, SIMJA's Creative Works must not be used without prior written permission to:

Train artificial intelligence or machine learning models;

Create datasets;
-
Develop generative AI systems;
-
Perform automated data mining;
-
Scrape or harvest website content;
-
Create synthetic media;
-
Generate substantially similar works through automated systems; or
-
Support any other unauthorised computational analysis or reproduction.
Trade Marks and Branding
Business names, logos, slogans, brand elements, and other identifiers associated with SIMJA may be protected under applicable trade mark, passing off, unfair competition, or other intellectual property laws, whether registered or unregistered.
Nothing in these Terms grants permission to use any SIMJA branding without prior written consent.
Reporting Infringement
If you believe that your intellectual property rights have been infringed by content published on the SIMJA website, or if you become aware of unauthorized use of SIMJA's Creative Works, please contact SIMJA so the matter can be investigated.
SIMJA reserves the right to take appropriate action to protect its intellectual property, including requesting removal of infringing material, issuing legal notices, or pursuing other remedies available under applicable law.
Copyright & Intellectual Property Policy

SIMJA embraces innovation while remaining committed to artistic integrity, originality, and responsible creative practices.
Some Creative Works offered by Beamsley & Co Limited, trading as Simja – Spectrum Imagination Mary Jane Art and Spectrum Minds, may incorporate artificial intelligence ("AI") as one tool within the creative process.
The use of AI does not diminish SIMJA's creative direction, artistic judgement, or ownership of the final published Creative Works.

AI may be used to assist with selected aspects of the creative process, including:

Intellectual Property
Unless expressly stated otherwise, all rights, title, and interests that may exist in AI-assisted Creative Works—including any original contributions, artistic arrangements, branding, compilation, editing, or other protectable elements—remain the property of Beamsley & Co Limited to the extent permitted by applicable law.
The purchase of a product containing an AI-assisted Creative Work transfers ownership of the physical product only and does not transfer any copyright, intellectual property rights, reproduction rights, licensing rights, or commercial rights in the underlying Creative Work.

SIMJA is committed to using AI responsibly and ethically.

SIMJA does not intentionally represent AI-assisted Creative Works as entirely hand-created where that would be misleading.
Customer Use
Customers may enjoy AI-assisted Creative Works in the same manner as any other SIMJA Creative Work.

Where these developments materially affect the way Creative Works are created, described, or licensed, SIMJA may update its policies and Terms and Conditions accordingly.
AI & Creative Content Policy

SIMJA will not be liable for any delay, interruption, or failure to perform its obligations under these Terms and Conditions where such delay, interruption, or failure results from circumstances beyond our reasonable control ("Force Majeure Event").
SIMJA will make reasonable efforts to minimise the impact of any Force Majeure Event and resume normal business operations as soon as reasonably practicable.
